Company says the EAA Real Estate Index will launch with a $20 million reference net asset value divided into 2 million units

-- EAA – Entraide Amicale d’Afrique has announced the EAA Real Estate Index, a new initiative designed to provide participants with fractional exposure to a portfolio of real estate assets without requiring the direct purchase of an entire property.

According to EAA, the index is structured around units representing participation in an underlying portfolio of real estate holdings and related assets. The company says the model is intended to lower the capital threshold traditionally associated with direct property ownership while providing participants with greater visibility into the assets supporting the index.

Initial Reference NAV Set at $20 Million

EAA says the Real Estate Index will begin with an initial reference net asset value, or NAV, of $20 million.

The initial NAV will be divided into 2 million units, resulting in an initial reference value of $10 per unit.

According to EAA, the NAV is determined by considering the value of real estate holdings, cash and other applicable assets, less liabilities associated with the portfolio.

The calculation can be summarized as:

Real Estate Assets + Cash + Other Assets – Liabilities = NAV

Changes in property valuations, portfolio income, cash positions, expenses and liabilities may therefore affect the NAV over time.

The company said the structure is intended to provide participants with a reference value connected to the economic performance of the underlying portfolio rather than relying exclusively on market trading activity.

Fractional Structure Lowers the Entry Threshold

Traditional real estate investment can require substantial upfront capital, particularly when investors purchase residential, commercial or land assets directly.

The EAA Real Estate Index uses a fractional structure under which participants acquire units rather than purchasing individual properties.

EAA said this approach is intended to make participation possible at different investment levels while allowing individuals to increase or reduce their holdings according to their circumstances and subject to the platform’s applicable terms.

The company expects the structure to be particularly relevant to participants in African markets and members of the African diaspora who may be interested in property-related assets but do not have the capital or operational resources required for direct real estate ownership.

NAV and Market Activity

EAA said the Real Estate Index will distinguish between the underlying NAV of the portfolio and the market price at which units may be available.

In addition to changes in the value of the underlying real estate portfolio, market activity can influence the price of units.

The platform uses a mechanism known as REPS, which EAA says evaluates factors including the balance between buying and selling activity.

Under the proposed structure, upward or downward market-price adjustments generated through the REPS mechanism are limited to 3% above or below the latest applicable NAV, according to EAA.

The company said the mechanism is intended to allow market conditions to be reflected in unit pricing while maintaining a defined relationship between market price and the underlying portfolio value.

Liquidity Remains Subject to Market Conditions

The index is also designed to provide participants with a mechanism for offering units for sale through the platform rather than requiring the sale of an individual property.

EAA said sell requests may be matched with available buying demand and other liquidity mechanisms supported by the platform.

The company emphasized, however, that liquidity is not guaranteed. Sell requests may remain pending when sufficient market demand or liquidity is unavailable, and participants should not assume that units can be converted to cash immediately.

This differs from direct property ownership, where the sale of an asset may require negotiations, documentation and completion of a property transaction, but it does not eliminate liquidity risk.

The EAA Real Estate Index forms part of a broader initiative through which EAA is developing products linked to different areas of the African economy.

The organization says its plans include indices and products associated with sectors and assets such as agriculture, cocoa, coffee, mining, commodities and African companies.

The broader initiative is intended to provide EAA community members with access to different asset categories through a digital platform while providing information about portfolio composition, valuation methodology and applicable risks.

EAA said the real estate initiative reflects its broader objective of combining collective participation with technology-based access to economic assets.
