Mr. Babits recently retired from Shell USA where he was associate U.S. securities counsel for Shell. Pursuing Law
Early on, Mr. Babits knew that he wanted a professional career in law, pursuing higher education in Washington, D.C. To prepare for his career, he earned a Bachelor of Arts in economics in 1985 and a Master of Business Administration in finance and investments in 1988 from The George Washington University. Seeing how useful a law degree is in business influenced Mr. Babits to attend law school. He received a Juris Doctor from the Antonin Scalia Law School at George Mason University in 1991. There, he was a member of Law Review.
As a distinguished professional, Mr. Babits' professional career spans more than three decades and includes various roles that highlight his dedication to the law. Following graduation, he began work at the Securities and Exchange Commission (SEC). During his tenure from 1991 to 1997, he was heavily involved in reviewing companies' filings, rulemaking, and drafting interpretive releases that dealt with both legal SEC accounting issues. After spending about a year with the law firm Morgan Lewis, Bockius LLP. Mr. Babits returned to the SEC in 1998 and continued working on rulemaking. In 1999, he began working as counsel to Commissioner Isaac C. Hunt. In 2002, he returned to the division of corporate finance and continued with rulemaking and interpretive work. Mr. Babits was the principal staff person who drafted the use of non-GAAP measure rules and helped negotiate the corporate governance rules of NYSE and NASDAQ.
Between 2005 and October 2025, Mr. Babits was associate counsel group U.S. securities and disclosure attorney for Shell plc, where he has advised senior executives within the organization. His daily responsibilities cover all aspects related to U.S. securities law, investigations and advising. He has done defense work, mergers and acquisitions and assisted with some of the organization's biggest projects.

Mr. Babits' expertise and professional achievements have been recognized by the SEC with a Capital Market Award and by the International Association of Top Professionals (IAOTP), which named him Lawyer of the Year in 2024. He has been featured in the Wall Street Journal, Forbes Magazine and Fortune Magazine.
